Personal data and information is stored and processed in the United Kingdom (UK) branch of Blocks for the sole purpose and use by Blocks.
Cookies
Cookies are small text files that Blocks asks to place on your computer's hard drive and/or onto your mobile device's memory. Blocks uses cookie technology for various purposes, e.g., to remember you when you return to the Blocks Website, identify you when you sign-in, authenticate your access, enable your use of specific functionalities, keep track of your specified preferences or choices, tailor content to your preferences or geographic region, display personalized browsing history, or provide technical support. Blocks also may use cookies for the purpose of monitoring site usage, conducting research and diagnostics to improve Blocks content, products, and services, and in general to help Blocks analyze web traffic. Blocks also integrates social plugins, widgets and other features from third party social networks, including the following: Facebook's 'Like-Button', social widgets and other features allowing interaction with Facebook social networks as provided by Facebook Inc.; you may access Facebook's privacy practices at https://www.facebook.com/about/privacy. Google+ Share-Button, social widgets and other features allowing interaction with the Google+ social network as provided by Google Inc.; additional information about Google's privacy practices can be found at https://www.google.com/policies/privacy/. Twitter 'Tweet-Button', social widgets and other features allowing interaction with the Twitter social network as provided by Twitter Inc.; additional information about Twitter's privacy practices can found at https://www.twitter.com/privacy. Therefore with these widgets, plugins and other social features, the respective third parties place cookies on your browser and collect certain information, which may be associated with your name and personal social network account information. Please note that these social widgets, plugins and other features are operated solely by these respective third parties, for which Blocks has no control over or access to the information collected, stored or used by such third party social networks. The information practices by such third parties are not covered by this Privacy Policy, therefore if you do not wish to associate any information collected via the plugins, widgets and/or other features with your personal social network account information, Blocks recommends that you refrain from using these social functionalities and logout from your social network account before visiting the Blocks Website.
Security of Information
Blocks strives to ensure industry-standard security by implementing commercially reasonable applications, systems, and procedures with the intention of securing your personal information, to minimize the risks of damage, theft, loss of information, or unauthorized access, disclosure, modifications or use of information. Blocks would like you to understand that such measures are not able to provide absolute assurance. Although Blocks goes to great lengths to protect your personal data, it cannot guarantee and you therefore cannot reasonably expect that its databases will be immune from any malfunctions, wrongdoings, breach, unlawful access or interceptions, or other kinds of abuse and misuse.
Sharing and Using your Personal Information
Blocks may share your personal information (including your location information) with its third party service providers or affiliates, as authorized by Blocks to collect, process and use your personal information as data processors on Blocks' behalf, such as, for instance, technical service providers, cloud based and hosting services, mail carriers, communication agencies and customer support service providers; these parties may be located in countries outside of your respective jurisdiction. An updated list of the parties engaged by Blocks for the processing of your personal information may be requested from Blocks at any time. Other than as indicated above, Blocks will not share your personal information with any third parties, unless compelled by law to do so or if you have given your prior consent. The use of the information about Blocks' users' services and products and website activities (this includes location information) is in anonymous, statistical or aggregated form, therefore the information cannot be used to identify a specific user. The use of the information is to ensure proper operation of the services and products, to improve the quality of the services and products, to enhance your experience, to create new products, services and features, including customized services, in order to change or cancel existing content, service or products, and as well as for further internal, commercial and statistical purposes. Additionally, Blocks uses anonymous, statistical or aggregated information that it collects, while ensuring that the information cannot be used to specify a particular user, by posting, disseminating, transmitting or otherwise communicating or making available such information to its users, to its business partners and its service providers.
Integrated Third Party Web Services and Functionalities
Blocks integrates the services of third parties which may also place cookies on your computer's hard drive and/or your mobile device's memory. Blocks does not have access to or control over cookies or other features that advertisers and third party sites may use, and the information practices of these advertisers and third party websites are not covered by this Privacy Policy. You are welcome to change your settings to refuse these third party cookies or to warn you before cookies are placed. However, if you choose not to accept cookies, you may not be able to take advantage of some of Blocks' features and services. Google Analytics is a web analysis service provided by Google Inc. ("Google"). Google analytics uses cookies to assist Blocks in analyzing how users use and interact with its Website by preparing reports on website activity and providing other services in relation to usage. Please be aware that as a rule, any information generated by the cookies about your use of the Blocks Website and services will be transmitted to and stored by Google on servers in the United States. Furthermore, please be aware that Google may also use the data collected to contextualize and personalize the ads of its own advertising network and/or share the data with other Google services where it deems fit. You may opt-out from the collection of information stored and generated by the Google Analytics cookies as well as the use of such data by downloading and installing the relevant browser-plugin.
Control of your Personal Information
Blocks understands that you, at any time, have the right to know whether your personal information has been stored and that you can consult Blocks to learn about their contents and origin, as well as to verify the accuracy or to ask for them to be supplemented, cancelled, updated or corrected, or for their transformation into an anonymous format or to block any of your personal information, as well as to oppose their processing for any and all legitimate reasons. Upon a request to delete information of your account and your personal information, Blocks shall delete such information, however please be advised that Blocks may not delete information from its backup systems. Changes and Amendments
Given that Blocks reserve the right to make changes to this Privacy Policy at any time, Blocks will provide you with notice on this page and by sending an email notice to you if you are a registered user. Should you object to any of the changes of this Privacy Policy, Blocks asks that you immediately cease using the Blocks Website and services. You may request Blocks to erase your personal information. Should there be any changes to this Privacy Policy, the changes will be posted on the Website and sent to the registered email address that you have provided (if applicable). Any changes will be effective 20 days after their initial posting or after the email has been sent (or whichever date is later). However, if Blocks amends this Privacy Policy to comply with legal requirements, then the amendments will become effective immediately upon their initial posting, or as required. The then-current privacy policy applies to all personal information Blocks has about you, unless stated otherwise. You agree to be bound by any of the amendments or changes made in the terms of this Privacy Policy. This acceptance will be provided by your continued use of the Blocks Website and services.
PRE-ORDER TERMS
PRE-ORDER TERMS
The effective date of these Terms is April 1st 2016. These Pre-Order Terms and Conditions ("Pre-Order Terms") as contained herein govern the placing of pre-orders ("Pre-Order") with Blocks Wearables Inc., a Delaware corporation (the "Company") for the Products (as defined herein). By submitting your Pre-Order, you agree to be legally bound by these Pre-Order Terms. Please read these Pre-Order terms carefully before submitting your Pre-Order for any Products.
Products
The available Pre-Order products are the Blocks' smartwatch and its modular components. The Company reserves the right, at its discretion, to allow the Pre-Order of other Blocks labelled products as available from time-to-time.
Shipping
Although the Company will make every effort to begin shipping Products as soon as reasonably practicable, you understand and agree that there may be delays. An estimated time of delivery (ETD) is therefore subject to change, and the Company does not represent or warrant that it will be able to ship the Product by the ETD. In the event of a delay, the Company is not responsible for any damages that may occur as a result, nor shall it be obligated, except as set forth in these Pre-Order Terms, to provide any discounts, refunds or credits due to any such delays. Products will be shipped in the order in which Pre-Orders are received by the Company. We will provide you updates with respect to such a delivery schedule.
Price
The purchase price ("Price") does not include taxes and other government charges. If the Price goes up, your order is secured at the lower Price. The Pre-Order Price is valid from the moment you place the Pre-Order right up to 10 days after you receive the item. If the Price of the products contained in a Pre-Order should decrease after a Pre-Order is submitted, the Company will refund the difference, provided that the customer notifies the Company of the price discrepancy within 10 days. To claim a refund for the difference, send an email to [email protected].
Refund Policy
A refund may be requested by you within ten (10) days of placing your order(s). A refund may be requested by notifying the Company at [email protected]. Should your request fall outside of this period, and if the Company is unable to commence shipping of the Product(s) on or before the one-year anniversary of placing the Pre-Order, if desired the Company shall process a full refund to you. Customers will not be eligible for a refund if their request is received outside of the ten (10) day period since placing their order, unless on or after the one (1) year anniversary of placing the pre-order.The Company is not responsible for any additional charges that may be incurred during the refunding process. Any refunds, if paid, are exclusive of interest. Please note that processing a refund may involve the services of a third party. The Company will refund customers within a reasonable amount of time, pursuant to any Terms and Conditions it is subject to with any such third party.
Disclaimer
THE COMPANY DISCLAIMS ANY WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE PROTOTYPE PRODUCT DISPLAYED BY THE COMPANY, WHETHER BEFORE OR AFTER YOU HAVE PLACED THE PRE-ORDER. YOU UNDERSTAND AND AGREE THAT THE PRODUCT, ITS DESIGN AND TECHNICAL FEATURES ARE CURRENTLY UNDER DEVELOPMENT AND THAT THE PRODUCT THAT MAY BE AVAILABLE FOR PURCHASE BY YOU MAY BE MATERIALLY DIFFERENT FROM THE PROTOTYPE PRODUCT.
Miscellaneous Provisions
These Pre-Order Terms will be governed by and construed in accordance with the laws of the State of Delaware, excluding its conflict of law principles. If for any reason a court of competent jurisdiction finds any provision, or portion thereof, to be unenforceable, the remainder of these Pre-Order Terms shall continue in full force and effect. These Terms constitutes the entire agreement between the parties pertaining to its subject matter and it supersedes all prior agreements, representations and understandings of the parties.
Pre-Order Registration & Information
When placing a Pre-Order for the Products, you will be required to provide certain information, such as your address and billing information. You represent and warrant that all such information is accurate and true, and you shall ensure that such information is kept current. The Company is not responsible or liable for inaccurate information or information that later becomes outdated, and shall have no obligation to make efforts to determine the correct contact or shipping information. You can update your information at any time prior to your product being shipped by sending an e-mail to [email protected].
Payment
You will be charged the full Price of the Product(s) at the time of placing the Pre-Order. All Pre-Orders are handled through the Stripe payment gateway. Accepted methods of payment include all major debit and credit cards, including but not limited to Visa, Master Card, and American Express, in addition to other methods as may be made available from time-to-time by the payment gateway provider. Your placing of a Pre-Order constitutes your express agreement to the Company of charging the full Price of the Product(s) at such time. The purchase price does not include import duties, taxes and other government charges.
Cancellation
At its discretion, the Company may cancel your Pre-Order at any time. You will receive a full refund of the purchase Price exclusive of interest.
Terms and Conditions of Sale
The purchase of the Products is subject to additional terms and conditions provided by the Company, including in respect of any software included in the Products or intellectual property embodied in the Products or data collected by the Products. The current Terms of Sale and Terms of Use can be found at www.chooseblocks.com.
Privacy
If you provide information for the Pre-Oder of the Products, the Company will use such information as necessary to process the Pre-Order or as expressly set forth herein and in the Company's Privacy Policy which can be found at www.chooseblocks.com. The Company will not provide such information to third parties except as set forth herein and in accordance with our Privacy Policy. The Company will provide data as required by law or as requested by law enforcement. Blocks may transfer data in the context of a sale of its business or part thereof. Blocks will take industry standard efforts to store your data, but no method of electronic storage or transmission is completely secure. The Company may use third parties to process any provided information, even if such third parties are not located in your jurisdiction, so long as such third parties are subject to standard confidentiality arrangements. If permitted by law, the Company may use contact information that you provide to occasionally send you emails or other communications concerning the Products or other products of the Company. Additional information is available in our Privacy Policy.
Limitation of liability

TO THE EXTENT NOT PROHIBITED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, OR ITS SUBSIDIARIES AND AFFILIATES, BE LIABLE FOR PERSONAL INJURY, OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PRODUCTS, HOWEVER CAUSED, REGARDLESS OF THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR LIABILITY FOR PERSONAL INJURY, OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU.

IN THE EVENT THE COMPANY IS HELD LIABLE FOR ANY DAMAGES ARISING OUT OR RELATED TO THIS AGREEMENT, YOUR SOLE AND EXCLUSIVE REMEDY WILL BE THE FULL REFUND OF YOUR PURCHASE PRICE WITHOUT INTEREST.

THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE ABOVE STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Change of Pre-Order Terms
The Company reserves the right to change any of the terms for any or no reason and will provide notice of any material changes.

Please read carefully the following provisions of these Terms of Sale ("Terms"). This is a legal agreement between you and Blocks Wearables Inc., a Delaware corporation ("Blocks") regarding the purchase of Blocks products through its online and/or mobile services or website. By using the services for purchase, you acknowledge that you have read, understood, and agree to be bound by the following terms and conditions, including any future modifications,and comply with the Privacy Policy.

At its discretion Blocks reserves the right to add, remove or modify the Terms and Conditions at any time. It is your responsibility to regularly check the Terms and Conditions in the event of any changes.

Through the use of websites and mobile applications, Blocks will offer and make available in its sole discretion its products and services, herein referred to as the Blocks Service, to the general public.

Purchases by Customers

Additional terms and conditions may apply to purchases of services or goods and to specific portions or features of the Blocks' Website and other online and mobile services, including contests, promotions or other similar features, all of which terms are made a part of these Terms by reference. You agree to abide by such other terms and conditions, including where applicable representing that you are of sufficient legal age to use or participate in such service or feature. If there is a conflict between these Terms and the terms posted for or applicable to a specific portion of Blocks online services or for any service offered on or through said services, the latter terms shall control with respect to your use of that portion of online services or the specific service.

Blocks reserves the right to make changes to any products or service offered on all of its websites and mobile applications, or to the applicable prices for any such products or services, at any time, without notice. The materials on the Blocks Service with respect to products and services may be out of date and therefore Blocks makes no commitment to update the materials on the Blocks Service with respect to such products and services.

Pre-Orders may be placed for Blocks products and services in accordance with these terms & conditions and the Pre-Order Terms & Conditions.

Disclaimer of Warranties

Except where expressly provided otherwise by Blocks, the Blocks service is provided "as is," and is for use as contracted herein. Except for the express warranties set forth herein, Blocks hereby disclaims all express or implied representations, warranties, guaranties, and conditions with regard to the Blocks service, products and the goods and services associated therewith including but not limited to any implied representations, warranties, guaranties, and conditions of merchantability, fitness for a particular purpose, title and non-infringement, and quality of goods and services except to the extent that such disclaimers are held to be legally invalid. Blocks makes no representations, guaranties or warranties regarding the reliability, availability, timeliness, quality, suitability, truth, accuracy or completeness of the Blocks service and the goods, services associated with the Blocks service, or the results you may obtain by accessing or using the Blocks service and/or the goods, services associated therewith.

Without limiting the generality of the foregoing, Blocks does not represent or warrant that (a) the operation or use of the Blocks service will be timely, secure, uninterrupted or error-free; (b) the quality of any products, services, information, or other material you purchase or obtain through the Blocks service will meet your requirements; or (c) the goods, services, or the systems that make the Blocks service available are free of viruses or other harmful components.

You acknowledge that Blocks does not control the transfer of data over communications facilities, including the internet, and that the Blocks service may be subject to limitations, delays, and other problems inherent in the use of such communications facilities. Blocks is not responsible for any delays, delivery failures, or other damage resulting from such problems. Except where expressly provided otherwise by Blocks, the Blocks service and the goods, services associated therewith are provided to you on an "as is" basis. Blocks expressly disclaims any warranty related to the quality of goods and/or services and the persons or businesses referenced on the Blocks service.

Miscellaneous Provisions

This Agreement represents the parties' entire understanding relating to the use of the Blocks Service and supersedes any prior or contemporaneous, conflicting or additional, communications. Blocks reserves the right to change these Terms or its policies relating to the Website at any time and such changes will be effective upon being posted herein.

You should visit this page from time to time to review the then current Terms because they are binding. Certain provisions of these Terms may be superseded by expressly designated legal notices or terms located on particular portion of the Blocks Service, which may be posted from time to time. Your continued use of the Blocks Service after any such changes and/or postings shall constitute your consent to such changes. If any provision of these Terms is held by a court of competent jurisdiction to be invalid or unenforceable, then such provision(s) shall be construed to reflect the intentions of the invalid or unenforceable provision(s), with all other provisions remaining in full force and effect.

No joint venture, partnership, employment, or agency relationship exists between Blocks and you as a result of these Terms and Conditions of the Blocks Service. You may not assign this Agreement without the prior written approval of Blocks. Any purported assignment in violation of this section shall be void. The failure of either party to enforce any right or provision in this Agreement shall not constitute a waiver of such right or provision unless acknowledged and agreed to by such party in writing. In the event of any litigation of any controversy or dispute arising out of or in connection with this Agreement, its interpretation, its performance, or the like, the prevailing party shall be awarded reasonable attorneys' fees and expenses, court costs, and reasonable costs for expert and other witnesses attributable to the prosecution or defense of that controversy or dispute. Any and all rights not expressly granted herein are reserved by Blocks.

Shipping and Delivery

Deliveries may be shipped from multiple locations. While Blocks strives to deliver all orders as quickly as possible, Blocks asks its customers to allow up to four weeks for delivery even though an order may be delivered in quicker time.

Blocks reserves the right to use any shipping method it deems necessary although it will try to adhere to your chosen method. Blocks strives to ensure that the ordered product reaches you, however please be aware that Blocks relies upon a third party for delivery services.

A shipping and handling fee is applied to all orders. The shipping and handling cost is a non-negotiable flat rate fee that if you choose an expedited shipping method at an additional cost, your order still has to process through fulfilment. The expedited service starts at the time your package is shipped.

All applicable customs fees, taxes and duties are the sole responsibility of the customer. Blocks cannot mark any package(s) as a “Gift” in order to avoid customs and duties fees. Please be aware that at times, customs agents may delay the delivery of some packages at their discretion.

Also, please be aware that Blocks is not responsible for any delays or lost packages due to shipment as Blocks relies upon a third party for delivery services.

General

Blocks strives to ensure, but does not guarantee, the information provided on its online services, including, but not limited to, web and mobile based services, is complete, accurate and current. As such, Blocks make no representation as to the completeness and/or accuracy of any information on its online services.

All features, content, specifications, products, colours and prices of products and services described or depicted through Blocks' online services are subject to change at any time without individual or advanced notice. Blocks will make all reasonable efforts to accurately display the attributes of its products, including the applicable designs.

Receipt of an email order confirmation does not constitute Blocks' acceptance of an order or confirmation of an offer to sell a product or service. Blocks reserves the right, without prior notice and in its sole discretion, to limit the order quantity of any product or service, to refuse the service to any customer and/or to refuse access to Blocks online services by any customer. Blocks may require verification of information (such as payment information) prior to the acceptance and/or shipment of any order.

Billing and Payment

To the extent that you purchase any services and/or goods from Blocks, you agree to pay for all services and goods ordered from Blocks, except as set forth in writing signed by an authorized representative of Blocks.

You will be expected to provide Blocks with a valid and updated credit card or approved purchase order information and with accurate billing and contact information. By providing credit card or other authorized payment method information to Blocks, you authorize Blocks, or a credit card processor of its choosing to bill such credit card or to make such changes as applicable. If Blocks, in its sole and absolute discretion, permits you to make payment using a method other than a credit card or other authorized payment method, Blocks will invoice you at, or within a reasonable period of, the time of the purchase request. All amounts invoiced hereunder shall be due within thirty (30) days of the date of the invoice.

Order Terms and Conditions
These Order Terms and Conditions ("Order Terms") shall be construed in accordance with all other applicable terms and conditions that govern the relationship between Blocks and you, the purchaser.
Limited Warranty
Blocks warrants the products sold through the Blocks Service against defects in materials and workmanship under normal use for a period of ONE (1) YEAR from the date of retail purchase by the original end-user purchaser (referred to as "Warranty Period").So long as you are within this Warranty Period, if a defect arises, and you follow the instructions for returning the product, Blocks will, at its discretion, either (1) repair the product using either new or refurbished parts, (2) replace the product with a new or refurbished product, or (3) refund the purchase price of the product. Any replacement may be, at the option of Blocks, a new or remanufactured product.If a product is replaced, the replacement product shall assume the remaining warranty of the original product or ninety (90) days from the date of replacement or repair, whichever provides you with longer coverage. This warranty applies only to hardware products manufactured by or for Blocks that can be identified by the "Blocks" trade name, or logo affixed to them and which are sold through the Blocks Service.This warranty does not apply: (i) to cosmetic damage, including but not limited to scratches, dents and chipped plastic; (ii) defects or damage caused by misuse, accident (including without limitation collision, fire and the spillage of food or liquid), neglect, abuse, alteration, unusual stress, modification, improper or unauthorized repair, installation, wiring, or testing, improper storage or if the serial number has been removed; (iii) to damage caused by operating the product outside the permitted or intended uses described by Blocks; (iv) to any non-Blocks hardware products or any software, even if packaged or sold with Blocks products. (v) to damage caused by use with non-Blocks products.This warranty gives you specific legal rights, and you may also have other rights, which vary from jurisdiction to jurisdiction. Blocks' responsibility for hardware defects is limited to repair or replacement service as determined by Blocks in its sole discretion. All express and implied warranties, including but not limited to any implied warranties and conditions of merchantability and fitness for a particular purpose are limited in to the term of this limited warranty. No warranties, whether express or implied, will apply after the expiration of the Limited Warranty period. Some jurisdictions do not allow limitations on long and implied warranty lasts. So this limitation may not apply to you.To obtain warranty service for any products that is subject to the foregoing warranty, you must notify Blocks via e-mail at [email protected] to obtain a Return Material Authorization ("RMA") and return the defective product together with proof of purchase to the address specified by Blocks in connection with the RMA.You are responsible for shipment of the defective product to Blocks. Blocks will pay for return shipping via Blocks choice of courier and shipping method. You are responsible for a redirect or re-ship fee if your product is shipped to you and the address is invalid upon delivery. Blocks is not responsible for packages delivered to an outdated address. If the product is returned to Blocks you will be responsible for additional shipping charges.
Terms of Purchase

Blocks currently accepts the following online methods of payment: Visa, MasterCard, and other credit cards or payment systems offered by its payment processor of choice. Blocks will not process any credit card or payment information, but merely transmit to its trusted third parties. Should any personal information necessary to fulfil your order change after the time your order was placed (such as billing address, shipping address or phone number) it is your responsibility to contact Blocks with updated information. Your order confirmation will reflect the items ordered and the total amount to be charged.

If your order is returned to Blocks due to being provided incorrect shipping information, you may be subject to a return shipment fee.

Blocks is not responsible for any errors in any offer by Blocks resulting from any technical service malfunction and reserves the right to cancel any orders arising from such errors.
